How we intend to operate

How this works,
in plain language.

It is not an agreement, it is not an offer, and it does not bind you or us to anything. The agreements that actually govern an engagement are separate documents, drafted by counsel, and you would read and sign those with a person before any work or money moves.

This is an application, not an agreement

Everything on this site, including the application form, collects information so we can talk to you. Submitting the form is an application. It is not a signature, it does not enroll you in anything, it does not create a contract, and it does not obligate either of us to proceed. We may decline any application, and you may withdraw yours at any time by telling us.

Who you would be dealing with

Passthrew is a brand name. Services described on this site are provided through H&A Resources, LLC, which is the operating entity, the entity that would sign an agreement with your client, and the entity that carries the insurance.

What Passthrew is not

  • Not a staffing agency. We do not source work, place you, represent you, or mark up your rate. You bring your own client.
  • Not an employer of record. Work would run as 1099 independent contractor work, not as employment.
  • Not a lender. Nothing on this site is an offer of credit or an offer to lend.
  • Not a lead source. We do not promise you work.

We are not a staffing agency and we do not find you work. You bring the client, we handle the business side. Applying does not create a contract, and nothing on this page is an offer to lend.

Insurance, stated accurately

The only insurance in force is general liability, carried by H&A Resources, LLC on its own behalf. General liability responds to third-party bodily-injury and property-damage claims. It is general liability only. It is not professional liability, not errors and omissions, and not cyber coverage, and it does not cover the quality or performance of your work or your professional services.

General liability coverage only. This is not professional liability, errors and omissions, or cyber coverage.

You are responsible for your own professional liability, errors and omissions, and cyber coverage. H&A's general liability policy does not cover your work or professional services unless separately arranged in writing.

If your client requires professional liability, errors and omissions, or cyber coverage at a stated limit, tell us before anything is signed. H&A may not be able to provide it, and obtaining it is your responsibility unless we agree otherwise in a signed agreement.

How the options are intended to work

Described here so the pricing page is not the only place it appears. These are descriptions of intent, not commitments.

  • Pay when we get paid, 5%. You would be paid on the payment run after your client's money reaches us. Plainly: if the client never pays, you are not paid under this option.
  • Get paid first, 10%. You would be paid on the payment cycle whether or not the client has paid us. This option would be subject to approval, including a credit check on the client company and a background check on you. Any background check would be run through a third-party consumer reporting agency, and only after you receive a separate, stand-alone disclosure and provide written authorization; we would follow the notice requirements of the Fair Credit Reporting Act and applicable state law.
  • Custom. Priced and papered per engagement by a person.

Collections fee on the 10% option

If a client has to go to collections, an additional collections fee applies to that invoice. It is a fee, not a deductible, and this option is not an insurance policy. The amount is set in your signed agreement, and we tell you before you choose this option.

Rates and grandfathering

Rates may change for new applicants. Anyone already billing through us keeps the rate they started on, and your signed agreement will say so.

Work we cannot take

High-risk physical trades are excluded, including construction and painting, and anything else our coverage does not reach. White-collar, creative, technical, legal, administrative, and real-estate 1099 work is in scope.

If you work in one of these fields, professional liability is yours to carry; see the insurance section.

Your sensitive information

We do not ask for your Social Security number, your bank details, or a copy of your government ID on this site, and this site does not store them. If an engagement moves forward, those are collected inside the payment provider's own secure onboarding flow. We would hold only a status flag saying onboarding is complete.

Cancelling

Cancel anytime. There is no term commitment on this page and no early termination fee described anywhere on this site.
